Google Analytics Terms and Conditions
These Google Analytics General Terms and Conditions (this “Agreement”) are made between Google Ireland Limited (“Google”) on the one hand, and the person entering into the Agreement (“You”) on the other. This Agreement applies to your use of the Google Analytics service (the “Service”). BY CLICKING THE "I ACCEPT" BUTTON, COMPLETING REGISTRATION, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND ACCEPT THIS AGREEMENT AND YOU ARE FURTHER AUTHORIZED TO ACT ON BEHALF OF THE ACCOUNT OWNER AND ENTER INTO THIS AGREEMENT. Taking into account the relevant rights of the parties and the obligations contained in this Agreement, the parties agree on the following:
- Definitions
"Account" means the account used in the Service. Requests for all Profiles (if applicable) related to a given Property will be aggregated before the Service fee for that Property is determined.
"Confidential Information" is all protected data and other information that one party gives to the other in writing and marked "confidential", or communicated orally in such a way that it is also given in writing with a "confidential" mark within five working days. Confidential Information does not include information that is or becomes public, already in the receiving party's possession prior to disclosure by the other party, or that the receiving party has independently created without using the Confidential Information.
"Customer Data" or "Google Analytics Data" means data related to the characteristics and activities of Users that you collect, manage or store when using the Service.
"Documentation" means any accompanying documentation made available to you by Google for use with the Processing Software, including any online documentation.
"GAMC" means the Google Analytics Measurement Code installed on a Property for the purpose of collecting Customer Data, including any corrections, updates and enhancements provided to you.
"Google Affiliate or Google Affiliates" means Google, Google LLC and Google LLC's wholly owned subsidiaries.
"Request" means a series of interactions that result in the system sending data to the Service for processing. Requests include page view requests and e-commerce requests. Requests may be calls to the Service by various libraries, but this is not the case in all cases (for example, Requests may reach the Service using other Google Analytics-supported protocols and mechanisms that the Service makes available to you).
"Platform Home" is the interface through which you can access certain features of the Google Marketing Platform.
The "Processing Software ” means the Google Analytics server-side software and all updates thereof that analyze Customer Data and generate Reports.
"Profile" means the set of settings that together define the information to be used or omitted from a particular Report. For example, a Profile can be created to view a small part of a web page as a unique Report.
"Your Property" means any website, application, other property or resource under your control that transmits data to Google Analytics.
"Privacy Policy" means the privacy policy found on the Property.
"Report" means analytics available at www.google.com/analytics/, which may include analytics for a Profile.
"Servers" means servers controlled by any Google affiliate that store the Processing Software and Customer Data.
"SDKs" means certain software development kits, including all patches, updates and extensions provided to you, that are used by a Proprietary Application and that are built into the Application for the purpose of collecting Customer Data.
"Software" means the Processing Software, GAMC and/or SDKs.
"Third Party" means any third party (i) to whom you provide access to your Account, or (ii) for whose benefit you use the Service to collect data on behalf of the third party.
"Users" means users and/or visitors to your Property.
The term "including" or "including" means "including but not limited to".
- Fees and the Service
In accordance with the provisions of point 15, you can use the Service free of charge for up to 10 million Requests per month per account. Google may change the fees and payment rules for the Service from time to time, including adding fees for the cost of geographic data and importing cost data from search engines or other fees billed to Google or other Google affiliates by third-party service providers that are calculated to to include certain data in the reports of the Service. Changes to fees or payment rules will take effect when you accept the changes posted at www.google.com/analytics/. Unless otherwise noted, all fees are quoted in USD. Upon termination of this Agreement, any unpaid fees will become immediately due and payable, and Google's collection costs (including attorneys' fees) will be added to the amount owed and charged to the credit card or other payment instrument or method assigned to your Google Ads account. we can charge.
- Membership account, password, security
To register for the Service, you must complete the registration process, during which you must accurately and completely provide Google with your current data, including your e-mail address (username) and password, as requested by the registration form. You are not authorized (and you are not authorized to authorize the actions listed here to a third party) to (i) copy, modify, revise, translate or otherwise create a derivative work of the Software and/or Documentation; (ii) decompile, reverse engineer, decompile, disassemble or otherwise attempt to reveal the source code of the Software, except as expressly permitted by the laws of your country; (iii) the right to rent, lease, sell, assign or otherwise transfer the Software, Service or Documentation cat; (iv) remove any proprietary notices or labels contained in the Software or placed by the Service; (v) use, display, send, transmit or implement any device, software or process that interferes or attempts to interfere with the operation of the Service or the Software; or (vi) except for the purpose of preparing, viewing or downloading Reports, use data that is marked as third-party data in the Service. You are obliged to comply with all applicable laws when accessing and using the Documentation, Software, Service and Reports.
- Confidentiality and Beta Features
Neither party shall use or disclose the Confidential Information of the other party without its prior written consent, unless it serves to fulfill its obligations under this Agreement or is required by law or court order. In such a case, the party who must disclose the Confidential Information shall notify the other party in a reasonable amount of time prior to the transfer of the Confidential Information. Certain features of the Service (in the Service or elsewhere in Google's systems) may be marked "Alpha", "Beta" or "Experimental" or other markings indicating lack of support or confidentiality (collectively, "Beta Features"). You may not disclose any information about the Beta Features or the terms or existence of any non-public Beta Features. Pursuant to Section 11(a), Google and Google's affiliates shall have no liability (including no obligation to indemnify) for any damages arising out of or related to the Beta Features. Any use of the Beta Features is at your sole risk, and Google may impose additional requirements regarding their use. Google is under no obligation to provide support for Beta Features, and Google may, at its sole discretion, discontinue providing Beta Features as part of any Service at any time.
- Data protection rights and publicity
Google will not share your Customer Data or Third Party Customer Data with any third party unless Google (i) has obtained your consent to do so with respect to your Customer Data or the consent of any Third Party with respect to the Third Party Customer Data; (ii) believes that it is required by law or has a good faith belief that access to, retention of, or disclosure of Customer Data is reasonable and necessary to protect the rights, property, and safety of Google, its users, and the public, or (iii) ) transfers Customer Data to a third party only under limited circumstances in order for it to perform tasks (e.g. invoicing, data storage) to be performed on behalf of or for the benefit of Google, under strict conditions that prevent the Customer Data from being used or shared contrary to the instructions given by Google yes. - Indemnification
To the extent permitted by applicable law, you shall at your own expense indemnify, hold harmless, or defend Google and its affiliates against: (a) any and all damages and costs awarded against Google affiliates for any and all third-party damages; arises in relation to claims, demands, proceedings and lawsuits brought forward by a party against any Google affiliated company, or any of its officers, directors, employees, agents or affiliated companies, or brought against them, and: (b) any such related liability, damages, settlements, penalties, fines, costs or expenses (including reasonable attorneys' fees and other legal expenses) incurred by any Google Affiliate or any of its officers, directors, employees, agents or affiliates, and the needs of such third parties , arising out of or in connection with your claims, proceedings or lawsuits; and which in any event results from: (i) You breaching the provisions of Section 4 (Non-Exclusive License) and/or Section 12 (Proprietary Notice); (ii) You have violated any laws, regulations or rules applicable to the Service; (iii) any representation or warranty made by you regarding any aspect of the Service, Software or Reports to Third Parties; (iv) any claim brought by or on behalf of a Third Party in connection with your direct or indirect use of the Service, Software or Reports; (v) breach of your privacy and data protection obligations to any Third Party; and/or (vi) any claim arising out of the conduct or omission of any Third Party in connection with the Service, Software or Reports. Google will notify you in writing of any claim, suit or proceeding for which you are obligated to indemnify Google's affiliates. You are obliged to fully and reasonably cooperate in the defense of any claim. Google reserves the right, at its own expense, to enforce this Section 8 on behalf of any Google Affiliate and to assume the exclusive management and control of any matter otherwise covered by your indemnification obligation.
- Third Parties
If you use the Service on behalf of a Third Party, or if it is otherwise used by a Third Party through your Account, whether or not Google has authorized you to do so, you represent and warrant that (a) you are authorized by the Third Party act on behalf of and enter into the Agreement so that all obligations undertaken by you under this Agreement are binding on the Third Party; (b) Google is entitled to share with the Third Party any Customer Data that is specific to the Third Party Properties, and (c) you may not transfer or disclose the Third Party Customer Data to any other party without its consent.
- DISCLAIMER OF LIABILITY
Each party guarantees that it fulfills its obligations under the scope of this Agreement with reasonable care and expertise. If the Contract expressly stipulates n em, no condition, warranty or other condition applies to any part of the Services. To the fullest extent possible, we exclude any implied condition, warranty or other condition (including any implied condition of satisfactory quality, fitness for purpose or conformity to description).
- LIMITATION OF LIABILITY
(a) Nothing in this Agreement shall exclude or limit either party's liability for: (i) death or personal injury resulting from the negligence of either party or its personnel, employees or representatives; (ii) in the event of fraud or intentional misrepresentation; (iii) for obligations under Section 8 (Indemnification); or (iv) in cases where liability cannot be excluded or limited under applicable law. (b) Neither party shall be liable under or in connection with this Agreement for any (i) loss of profits; (ii) for the lack of expected savings; (iii) for lost business opportunity; or (iv) for indirect or consequential damages (be they breach of contract, non-contractual damages - including, but not limited to, negligence - or other consequences of damages) suffered by the other party (regardless of whether the parties could have foreseen the damages at the time of the Agreement ). (c) Subject to clauses (a) and (b) of Section 11 above, the parties' aggregate liability to each other under or in connection with this Agreement shall not exceed $500.
- Proprietary information
The Service, which includes the Software and all intellectual property rights therein, is now and at all times owned by Google (and any other Google affiliates). All rights in the Software not expressly granted to you in this Agreement are owned and reserved by Google and its licensors, including without limitation Google's (and other Google affiliates') exclusive ownership rights in the Software and Documentation. Without limiting the generality of the foregoing, you agree not to (and not to permit any third party to): (a) sublicense, distribute or use the Service or the Software in excess of the license granted in this Agreement; (b) copy, modify, adapt or translate the Software, create a derivative work based on the Software, or reverse engineer, disassemble, decompile or otherwise attempt to learn any source code or trade secrets related to the Service; (c) rent, lease, sell, assign or otherwise transfer rights in the Software, Documentation or Service; (d) use, display, send, transmit or introduce any device, software or process that interferes or attempts to interfere with the operation of the Service or the Software; (e) use any trademarks, trade names, service marks, logos, domain names and other distinctive marks or any copyright or other intellectual property rights associated with the Service for any purpose not expressly authorized in writing by Google; (f) register, attempt to register or assist a third party to register or attempt to register any trademark, trade name, service mark, logo, domain name and other distinctive mark or any copyright or other intellectual property right that the Link to Google (or any other Google affiliate), unless it is done on behalf of Google (or another Google affiliate, as applicable); (g) remove, obscure or alter any copyright, trademark or proprietary notices appearing on the Service or Software or on anything related to the Service or Software; or (h) file an action during the term of the Agreement and for one year thereafter seeking an injunctive relief for infringement of patent rights based on the Service.
- Rights of the United States Government
If the right to use the Service is obtained by or for the United States Government, or by a prime or subcontractor of the United States Government (regardless of the level of relationship), 48 C.F.R. 227.7202-4 (Department of Defense Acquisitions) and 48 C.F.R. 2.101 and 12.212 (not Department of Defense acquisitions), the government's rights in the Software, including rights to use, modify, reproduce, publish, disclose, or display the Software and Documentation, in each case the the provisions of this Agreement on commercial usage rights and restrictions shall govern.
- Validity and Termination
Either party may terminate this Agreement at any time by notifying the other party. If this Agreement is terminated for any reason, Google will cease to provide the Service and you will not be able to access the Service. Further, if your Account and/or Properties are terminated, you must (i) delete all copies of GAMC from all Properties and/or (ii) suspend all and any use of the SDKs within 3 business days of termination. If this Agreement is terminated for any reason, (a) you will not be entitled to recover any usage or other fees or be entitled to any such refund; and (b) all debts owed in connection with the Service shall become immediately due and payable in full on the date of termination; and (c) the historical data of the Reports will no longer be accessible to you.
- Modification of the General Terms and Conditions and other policies
Google reserves the right at any time to modify these terms and conditions or any additional terms applicable to the Service, for example to comply with amended legislation or to reflect changes to the Service. Please review the terms and conditions regularly. Google will publish information about changes to these terms and conditions at https://www.google.com/analytics/terms/, the Google Analytics Guidelines at www.google.com/analytics/policies/ or other policies referenced in the terms and conditions. on the URL to such policies. The amendments are not retroactive and do not enter into force earlier than the 14th day after their publication. If you do not agree to the amended Terms of Service, please stop using Google Analytics. Amendments and changes to the Agreement are binding only if (i) they are in writing and signed by an authorized representative of Google, (ii) you accept the updated terms online, or (iii) you continue to use the Service after Google publishes the Updates to the Agreement or other policies governing the Service.
- Miscellaneous provisions, governing law and court of jurisdiction
(a) If Google is hindered, delayed or hindered from fulfilling this Agreement for any reason beyond its reasonable control, then Google is accordingly released from its obligation to fulfill. (b) This Agreement (including any amendments agreed to in writing by the parties) constitutes the entire agreement between Google and you with respect to its subject matter and supersedes any prior agreements and representations between the parties. When entering into this Agreement, neither party relied on any declaration, statement or warranty, whether due to negligence or good faith, that is not expressly set forth in the Agreement. The parties cannot claim any rights or remedies from this. (c) If any provision of this Agreement proves to be unenforceable for any reason, then the given provision will be amended in such a way and to such an extent that it can be enforced to the fullest extent permitted by the original intention of the parties; and the unaffected part of the Agreement remains valid and effective. (d) This Agreement and its interpretation shall be governed by the laws of the United Kingdom. For any dispute (whether contractual or non-contractual) arising out of or relating to this Agreement, both parties submit to the exclusive jurisdiction of the English courts. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) of the United States of America do not apply to this contract. (e) The Software is subject to United States export restrictions, and you are prohibited from exporting the Software to embargoed countries or persons or from using the Software by embargoed countries or persons. (f) All notices to Google must be sent to Google Ireland Limited, Gordon House, Barrow Street, Dublin 4, Ireland by registered letter to the Legal Department, by airmail or courier. The notice shall be deemed to have been given upon receipt. (g) A waiver of rights in respect of a specific breach of contract shall not constitute a valid waiver of rights in respect of any subsequent breach of contract. (h) You may not assign or otherwise transfer any of your rights under this Agreement without Google's prior written permission, and any such attempt shall be null and void. (i) The legal relationship between Google and you is that of an independent contractor relationship and does not create any association between the parties. (j) This Agreement shall bind the respective future successors and assigns of the parties and may exercise the rights granted hereunder. (k) The following clauses of this Agreement shall continue to apply in the event of termination of the Agreement for any reason: 1., 4., 5., 6. (with the exception of the last two sentences), 7., 8., 9., 10., 11, 12, 14 and 16
- Google Analytics for Firebase
If you connect a Property to Firebase as part of your use of the Service ("Firebase Connection"), Sections 1-16 above. In addition to Points, the following terms will apply to you and govern your use of the Service, including your use of the Firebase Link. Except as modified below, all other terms remain unchanged and will continue to apply. If this clause 17 and clauses 1–16 above would conflict, only the terms of Section 17 shall govern your use of the Firebase Link.
- The following definition in point 1 is amended as follows:
- "Request" means a series of interactions as a result of which the system sends data to the Service for processing. Requests include page view requests and e-commerce requests. Requests may be calls to the Service by various libraries, but this is not the case in all cases (for example, Requests may reach the Service using other Google Analytics-supported protocols and mechanisms that the Service makes available to you). For clarity, Requests do not include certain events, the collection of which reflects interactions with certain Properties that can support multiple data streams, which may include screen views and custom events (collection of events, “Extended Package”).
- The following sentence is added to the end of Section 7:
- If you connect a Property to a Firebase project (“Firebase Connection”), then (i) certain data from your Property, including Customer Data, may become accessible to any other organization or organization or person with permissions set in Firebase and (ii) certain Service settings of your Property may be modified by authorized Firebase personnel (regardless of the settings you have designated for that Property within the Service).
